Company Secretarial
As established advisors to many clients, Britt & Keehan provide a wide range of services, including those of Company Secretary.
We understand that for smaller businesses it's the personnel resource that in many cases dictates how much time can be spent on this mandatory role. The ever increasing rate of change in company legislation and the Companies Act make this role a burden for many businesses and, as such, we have developed an outsourced and affordable solution for our clients to give you peace of mind that your business is in full compliance with its legal requirements.
Part of the service we provide as your Company Secretary
One of our partners will act as your appointed Company Secretary to ensure financial practices are in compliance with statutory regulations. As part of that service, we facilitate the communication between the Board of Directors and Company Shareholders regarding the company's financial matters and manage the company's statutory returns.
No two positions as a client's Company Secretary are the same, therefore we always tailor each position to match the exact requirement that best fits with our clients needs.
The duties of a company secretary
A Company Secretary is responsible for ensuring the compliance of their organisation in relation to financial and legal practices, as well as issues of corporate governance. Submission of various documents within the strict time frame is a key part of the role and can be onerous, but failing to comply can have potentially damaging results to your business.
Although they are not strictly required to provide legal advice, a Company Secretary must have a thorough understanding of the laws which affect their areas of work. They act as a point of communication between the board of directors and company shareholders, reporting in a timely and accurate manner on company procedures and developments.
